1. Acceptance of Terms

By accessing or using the BlueprintMD platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all users of the Service, including healthcare providers, patients, and partners.

2. Description of Service

BlueprintMD provides a white-label telemedicine platform that enables healthcare providers to:

• Conduct virtual patient consultations
• Manage patient intake forms and medical records
• Process prescriptions and treatment plans
• Manage scheduling and clinician networks
• Access analytics and reporting tools

The Service is provided "as is" and BlueprintMD reserves the right to modify, suspend, or discontinue any part of the Service at any time.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Healthcare Provider Responsibilities

If you are a healthcare provider using the Service, you represent and warrant that:

• You are licensed to practice medicine in the jurisdictions where you provide services
• You will comply with all applicable healthcare laws and regulations
• You will maintain appropriate professional liability insurance
• You are solely responsible for all medical decisions and patient care
• You will comply with HIPAA and other privacy regulations

5. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Impersonate any person or entity or misrepresent your credentials
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Use any automated means to access the Service for any purpose
• Transmit any viruses, malware, or other harmful code
• Harvest or collect user information without consent

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by BlueprintMD and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your use of the Service grants you no ownership rights to the Service or its content. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

7. Payment Terms

Certain aspects of the Service may require payment. By providing payment information, you:

• Represent that you are authorized to use the payment method provided
• Authorize us to charge all fees incurred through your account
• Agree to pay all applicable fees and taxes
• Understand that fees are non-refundable except as required by law

We reserve the right to change our fees at any time with reasonable notice.

8. HIPAA and Data Privacy

BlueprintMD acts as a Business Associate under HIPAA for healthcare providers using the Service. We have implemented appropriate safeguards to protect Protected Health Information (PHI) and will execute Business Associate Agreements (BAAs) with partners. 9. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. BlueprintMD disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

BlueprintMD does not:

• Practice medicine or provide medical advice
• Make any representations about the accuracy of medical information
• Guarantee uninterrupted or error-free service
• Warrant that the Service will meet your requirements

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUEPRINTMD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify, defend, and hold harmless BlueprintMD and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of your use of the Service, violation of these Terms, or violation of any rights of another party.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time by contacting us.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Puerto Rico, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert claims in small claims court if they qualify.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
